Common use of Payments in General Clause in Contracts

Payments in General. All payments of Rent shall be made directly by Lessee prior to 12:00 p.m. (New York time), to Lessor at its office at 538 Xxxxxxx Xxxxx, Xxxxxx, XX 00000, Xxtention: Richxxx X. Xxxxxxx (xx such other office of Lessor in the continental United States or such other account as Lessor shall direct in a notice to Lessee at least 10 Business Days prior to the date such payment of Rent is due); provided that so long as any Obligations remain outstanding, all Rent shall be paid directly to the Agent at the Funding and Payment Office; provided, further, that to the extent the amount of Rent paid directly to the Agent is in excess of the amount of principal and interest on the Loans relating to the Aircraft and other unpaid Obligations (other than principal and interest on other Loans relating to other aircraft leased pursuant to the other Leases and after taking into account all other payments of rent pursuant to the other Leases on such date), then such excess amounts shall be paid by the Agent to Lessor at its above-referenced office. Notwithstanding anything to the contrary contained herein, if any date on which a payment of Rent becomes due and payable is not a Business Day then such payment shall be made on the next succeeding Business Day; provided, however, if any date on which a payment of Rent becomes due is not a Business Day and is a day of the month after which no further Business Day occurs in such month, the payment of Rent shall be made on the next preceding Business Day. No interest shall accrue on the amount of any payment made on the Business Day next succeeding the regularly scheduled Basic Rent Payment Date, if such payment is made on such next succeeding Business Day because the original date of payment was not a Business Day (it being understood that the amount of Basic Rent includes Rent for such day).

Notwithstanding anything to the contrary contained herein, if any date on which a payment of Rent becomes due and payable is not a Business Day Day, then such payment shall be made on the next succeeding Business Day; providedPROVIDED, howeverHOWEVER, that if any date on which a payment of Rent becomes due is not a Business Day and is a day of the month after which no further Business Day occurs in such month, then the payment of Rent shall be made on the next preceding preced- ing Business Day. No interest shall accrue on the amount of any payment made on the Business Day next succeeding the regularly scheduled Basic Rent Payment Date, if such payment is made on such next succeeding Business Day because the original date of payment was not a Business Day (it being understood that the amount of Basic Rent includes Rent for such day).

Xxxxxxx Corporate Trust Department (xx or such other office of Lessor in the continental United States or such other account as Lessor shall direct in a notice to Lessee at least 10 Business Days prior to the date such payment of Rent is due); provided provided, that so long as any Obligations remain outstandinguntil Lessee shall have received notice from the Indenture Trustee to the contrary, Lessor hereby directs and Lessee agrees, that all Basic Rent shall be paid directly to the Agent Indenture Trustee at the Funding times and Payment Office; providedin funds specified in this Section 3(e) at the offices of the Indenture Trustee at 000 Xxxxxx Xxxxxx, furtherXxxxxxx Square, that Hartford, CT 06103, Attention: Corporate Trust Department (or such other office of Indenture Trustee in the continental United States or such other account as Indenture Trustee shall direct in a notice to Lessee at least 10 Business Days prior to the extent the amount date such payment of Basic Rent paid directly to the Agent is in excess of the amount of principal and interest on the Loans relating to the Aircraft and other unpaid Obligations (other than principal and interest on other Loans relating to other aircraft leased pursuant to the other Leases and after taking into account all other payments of rent pursuant to the other Leases on such datedue), then such excess amounts shall be paid by the Agent to Lessor at its above-referenced office. Notwithstanding anything to the contrary contained herein, if any date on which a payment of Rent becomes due and payable is not a Business Day then such payment shall not be made on such scheduled date but shall be made on the next succeeding Business Day; provided, however, Day with the same force and effect as if any date on which a payment of Rent becomes due is not a Business Day and is a day of the month after which no further Business Day occurs in such month, the payment of Rent shall be made on the such scheduled date and (provided such payment is made on [First Amended and Restated Lease Agreement (1989 I)] such next preceding succeeding Business Day.
