Payments to Bank Blocked Accounts. (d) Each Co-Borrower shall, if such Co-Borrower receives payments from account debtors in the ordinary course of business, establish and maintain a lock box (“Lock Box”) through the applicable Bank Blocked Account or at another depositary institution acceptable to the Agent, and shall notify in writing and otherwise take such reasonable steps to ensure that all of its account debtors under any of its Accounts forward payment under such Accounts in the form of cash, checks, drafts or other similar items of payment directly to such Lock Box or directly by wire transfer to such Bank Blocked Account, and shall provide Agent with reasonable evidence of such notification. Any payment in the form of cash, checks, drafts or similar items of payment received by any Co-Borrower in its Lock Box or otherwise shall be deposited into the applicable Bank Blocked Account no later than two Business Days following the date on which the applicable Co-Borrower receives such payment.

Payments to Bank Blocked Accounts. (a) MMP, Midstream, Logistics, G&P and Turkey Creek shall establish and maintain the MMP Bank Blocked Account, the Midstream Bank Blocked Account, the Logistics Bank Blocked Account, the G&P Bank Blocked Account and the Turkey Creek Bank Blocked Account, as applicable, and shall notify in writing and otherwise take such reasonable steps to ensure that all of their account debtors under any of their accounts receivable forward payment under such accounts receivable directly by wire transfer to either the MMP Bank Blocked Account, the Midstream Bank Blocked Account, the Logistics Blocked Bank Account, the G&P Bank Blocked Account or the Turkey Creek Bank Blocked Account, as applicable, and shall provide Agent with reasonable evidence of such notification.

Payments to Bank Blocked Accounts. (a) The Co-Borrowers promptly, and from time to time, shall notify all Account Debtors under all of its Accounts to make all payments under such Accounts to the Bank Blocked Accounts or the Lockbox and shall provide Banks with reasonable evidence of such notification. In the event that any Account Debtor does not make any payment directly to a Bank Blocked Account or the Lockbox, such Co-Borrower shall promptly deposit such amounts into its Bank Blocked Account or Lockbox.
Payments to Bank Blocked Accounts. (a) Each of SEG and Spark shall establish and maintain a lock box (“Lock Box”) through the Xxxxx Fargo Bank Blocked Account, the SEG Bank Blocked Account or the Spark Bank Blocked Account, as applicable, or at another depositary institution acceptable to the Agent, and shall notify in writing and otherwise take such reasonable steps to ensure that all of its account debtors under any of its Accounts forward payment under such Accounts in the form of cash, checks, drafts or other similar items of payment directly to such Lock Box or directly by wire transfer to the SEG Bank Blocked Account, or the Spark Bank Blocked Account, as applicable, and shall provide Agent with reasonable evidence of such notification. Any payment in the form of cash, checks, drafts or similar items of payment received by SEG or Spark in its Lock Box or otherwise shall be deposited into the SEG Bank Blocked Account or Spark Bank Blocked Account, as applicable, no later than the Business Day following the date on which SEG or Spark, as applicable, receives such payment.

In the event that any Account Debtor does make any payment directly to the Bank Blocked Accounts, Borrower shall promptly deposit such amounts into the Bank Blocked Accounts. If Borrower desires that funds be transferred from the Bank Blocked Accounts into Borrower’s operating account, Borrower shall request such a transfer by facsimile transmission sent to Agent utilizing the form of Exhibit F. Although Agent may from day to day authorize the transfer of proceeds from such accounts into the Borrower’s operating account, or otherwise, Agent has absolutely no duty to make any such authorization and at any time may refuse to authorize the transfer of any funds until all Obligations have been satisfied. Agent at any time may apply amounts contained in the Bank Blocked Accounts toward satisfaction of the Obligations. Upon the written notice of Agent, US Bank shall cease to transfer any funds from the Bank Blocked Accounts until further notified in writing by Agent.

In the event that any Account Debtor does make any payment directly to the Bank Blocked Accounts, Borrower shall promptly deposit such amounts into the Bank Blocked Accounts, and (iii) to the extent any funds are withdrawn by the Borrower or any of its Subsidiaries from the Clearinghouse Account, deposit and cause its Subsidiaries to deposit such funds to the Bank Blocked Accounts. Agent at any time may apply amounts contained in the Bank Blocked Accounts toward satisfaction of the Obligations. Upon the written notice of Agent, Xxxxx Fargo shall cease to transfer any funds from the Bank Blocked Accounts until further notified in writing by Agent.
