Pending Action. Except as disclosed in the Registration Statement and the Prospectus, there is no action, suit or proceeding pending or, to the best of the knowledge, information and belief of the Company, threatened to which the Company is a party, before or by any court or governmental agency or body which would reasonably be expected to have a Material Adverse Effect.
