Common use of Performance and Enforcement of Sale Agreement Clause in Contracts

Performance and Enforcement of Sale Agreement. Seller will perform its obligations and undertakings under and pursuant to the Second Tier Sale Agreement, will purchase Receivables thereunder in compliance with the terms thereof and will, to the extent necessary in its reasonable business judgment, enforce the rights and remedies accorded to Seller, directly or as assignee, under the Sale Agreements, provided that after the occurrence and during the continuation of an Amortization Event, Seller shall enforce its rights and remedies under the Sale Agreements at the direction of the Program Agent. Seller will take all actions to perfect and enforce its rights and interests (and the rights and interests of the Program Agent and the Investors as assignees of Seller) under the Sale Agreements as the Program Agent or any Managing Agent may from time to time reasonably request, including making claims to which it may be entitled under any indemnity, reimbursement or similar provision contained in either Sale Agreement.
