PERFORMANCE BY DESIGNEE. In the event that BTCO is required to purchase, sell, receive or deliver any shares or other securities in accordance with the terms of this Transaction, BTCO may designate any BTCO Affiliate to exercise such rights and/or to perform such obligations, as the case may be, in place of BTCO. Buyer need not be notified of such designation. Upon performance of any such obligation by any such designee, BTCO shall be discharged of its obligations to Buyer to the extent of such performance.
