Performance Matrix. The number of Restricted Stock Units that become eligible to vest (the “Eligible Restricted Stock Units”) will depend upon the Company’s Adjusted Operating Income as of the Period End Date, as described herein. The number of Eligible Restricted Stock Units will be determined by the Compensation Committee of the Company’s Board of Directors (the “Compensation Committee”) in its sole discretion within forty-five (45) days of the Period End Date.
Performance Matrix. Performance Matrix. CONTRACTOR shall perform the work and provide the deliverables as more particularly described in the Performance Matrix, attached as Exhibit A, and the Payment Schedule, attached as Exhibit C. Deliverables provided by CONTRACTOR to COMMISSION pursuant to this Contract are subject to COMMISSION’s approval and final acceptance, including review and approval by COMMISSION’s Research and Evaluation Quality Assurance Committee, as detailed in the Quality Assurance Principles and Dispute Resolution Process, attached as Exhibit D. COMMISSION may amend the Performance Matrix throughout the term of this Contract.
Performance Matrix. The following terms shall apply to the Award of Restricted Stock Units granted to the Participant identified in the Notice of Grant attached as Part I of the Award Agreement to which this Performance Matrix is attached. Unless otherwise defined herein, capitalized terms shall have the meanings set forth in the Plan or Award Agreement, as applicable. If Performance is: Applicable Percentage: Less than 90% of Performance Objective 0% 90% of Performance Objective 50% 95% of Performance Objective 75% 100% of Performance Objective 100% 125% of Performance Objective or greater 125% In the event actual performance for any fiscal year falls between any threshold listed in the chart above (e.g. 91% of Performance Objective), then the Applicable Percentage shall be adjusted accordingly using a straight line method of interpolation (e.g. if actual performance is at 91% of Performance Objective, then the Applicable Percentage shall be 55%; if actual performance is 92% of Performance Objective, then the Applicable Percentage shall be 60%, etc.). Executive’s annual bonus with respect to the Company’s current fiscal year ending September 30, 2005 (“FY 2005”), shall be based on the Company’s bonus plan in effect as of the date hereof, as set forth on Section 4.10(a) of the Company Disclosure Schedule to the Merger Agreement.

If Core Net Income or ROIC for the PSU Performance Period falls below the “Threshold” level set forth in the performance matrix above, no PSUs shall become earned with respect to that metric.
Performance Matrix. The number of Restricted Stock Units (“RSU”), if any, in which you may vest in accordance with the Vesting Schedule will depend upon the Company’s Stock Price Performance as compared to the NASDAQ Telecom Stock Price Performance for the Performance Period and will be determined in accordance with Section 1 of Appendix A.

Performance Matrix. In addition, the vesting, if any, of the Restricted stock Units will also depend on your continued service as set forth in Section 3 of Appendix A and, following a Fundamental Transaction, the provisions of Section 4 of Appendix A.
