Performance of Agreements; Instruments of Transfer. Holdings and -------------------------------------------------- HDA shall have performed in all material respects all obligations, agreements and commitments required to be fulfilled by Holdings and HDA pursuant to the terms hereof on or prior to the Closing Date.

VESTA -------------------------------------------------- shall have (i) fully performed in all material respects all obligations, agreements, conditions and commitments to be fulfilled by VESTA pursuant to the terms hereof on or prior to the CLOSING DATE; (ii) tendered to PURCHASER, or it's designee, the assignment of the MANAGEMENT CONTRACT (subject to the COMMISSIONER'S approval as required by Subsection 6.1.1), and (iii) notified PURCHASER that it is prepared to deliver all documents and records described in Section 7.1.
