Common use of Performance of Company Covenants Clause in Contracts

Performance of Company Covenants. The Company shall have performed and complied with in all material respects all covenants and conditions contained in this Agreement to be performed or complied with by it prior to or at the Closing.

Performance of Company Covenants. The Company shall have performed and fulfilled or complied with in all material respects all with each of its covenants and conditions contained in this Agreement to be performed fulfilled or complied with by it on or prior to or at the ClosingEffective Time and the Company shall have delivered to the Purchaser a certificate addressed to the Purchaser, dated the Effective Date and executed by two of its senior officers (without personal liability), confirming the same.

The Company shall have performed and fulfilled or complied with in all material respects all with each of the covenants and conditions of the Company contained in this Agreement to be performed fulfilled or complied with by it on or prior to or at the ClosingEffective Date which have not been waived in writing by the Purchaser, and shall have delivered a certificate addressed to the Purchaser, dated the Effective Date and executed by two (2) senior officers of the Company (in each case, without personal liability) confirming the same.
