Performance of Company Obligations. The Company shall have performed in all material respects all other obligations to be performed by it under this Agreement at or prior to the Offer Closing.
Performance of Company Obligations. Company shall have, or shall have caused to be, performed and observed in all material respects all covenants, agreements and conditions hereof to be performed or observed by it at or before the Time of Filing.
Performance of Company Obligations. Buyer agrees from and after the Closing Date to cause the Company and the Subsidiaries to perform and fulfill all of their respective obligations and commitments whether existing as of the Closing Date or arising or incurred thereafter.
Performance of Company Obligations. The Founder agrees that for so long as he serves as a Director, he shall, solely in his capacity as a Director and subject to his fiduciary duties as such, to the extent in compliance with applicable Laws, vote at any meeting of the Board or execute any written resolution or consent of Directors and take all other necessary actions in order to elect the Meituan Director as a Director. The Company further agrees to take any and all necessary actions within its control in order to ensure the election of the Meituan Director as a Director.
Performance of Company Obligations. The Company and the Company OP shall have performed in all material respects all of the obligations required to be performed by the Company and the Company OP, respectively, under this Agreement at or prior to the Closing.
Performance of Company Obligations. Without limitation of any provision of this Agreement, the Founder Parties shall (to the extent possible) vote Company Securities held by such Founder Parties to support the Company to perform and comply with its obligations under this Agreement.
Performance of Company Obligations. Each of Parent and Merger Sub shall have performed in all material respects each obligation, agreement and covenant required to be performed by it under the Agreement; and
Performance of Company Obligations. Without limitation of any provision of this Agreement, the Founder Parties shall take all reasonably necessary actions to cause the Company to perform and comply with its obligations under this Agreement.
Performance of Company Obligations. Evidence reasonably satisfactory to Buyer that all MBC and Company obligations and liabilities due or payable by MBC prior to Closing (other than permitted liabilities described in Section 2.2(b)) including any order of the FCC, shall have been satisfied in full;
Performance of Company Obligations. Buyer shall perform all contracts, obligations, agreements, arrangements, and other commitments of Company reflected in Company's Base Balance Sheet or otherwise disclosed to Buyer in connection with this Agreement, in accordance with the terms of such contracts, obligations, agreements, and other commitments.
