Performance of Conversion/Exercise Obligations. The Company shall have delivered Underlying Shares upon conversion of Shares and otherwise performed its obligations in accordance with the terms, conditions and timing requirements of each Certificate of Designation;
Performance of Conversion/Exercise Obligations. The Company shall have delivered Debenture Shares upon any demand for conversion of any of the Debentures and otherwise performed its obligations in accordance with the terms, conditions and timing requirements of the Transaction Documents.
Performance of Conversion/Exercise Obligations. The Company shall have delivered Underlying Shares upon conversion of the Debentures and otherwise performed its obligations in accordance with the terms, conditions and timing requirements of each Debenture;

The Company shall have (a) delivered Underlying Shares upon conversion of Shares and otherwise performed its obligations in accordance with the terms, conditions and timing requirements of each Certificate of Determination and (b) delivered Underlying Shares upon exercise of the Warrants and otherwise performed its obligations in accordance with the terms of the Warrants;

The Company shall have (a) delivered Underlying Shares upon conversion of Series A Shares and otherwise performed its obligations in accordance with the terms, conditions and timing requirements of the Series A Certificate of Designation and (b) delivered Underlying Shares upon exercise of the Series A Warrants and otherwise performed its obligations in accordance with the terms of the Series A Warrants;
Performance of Conversion/Exercise Obligations. The Company shall have timely complied with its conversion and delivery obligations under the Initial Debentures and the First Additional Debentures and shall have timely complied with its exercise and delivery requirements under the Initial Warrants and the First Additional Warrants;
