Common use of Performance of Management Functions Clause in Contracts

Performance of Management Functions. Company shall use its best efforts to manage the day-to-day operations of the Main Practice Office and any Satellite Offices in a business-like manner. Company shall provide or arrange for the services set forth in this Article V, the cost of all of which shall be included in Clinic Expenses. Company is hereby expressly authorized to perform its services hereunder in whatever manner it deems reasonably appropriate to meet the day-to-day requirements of Practice Office operations in accordance with the general standards approved by the Policy Board and to maintain the lease agreements for each of the Practice Offices, including, without limitation, performance of some of the business office functions at locations other than the Main Practice Office. ROAII will not act in a manner which would prevent Company from efficiently managing the day-to-day operations of the Main Practice Office and maintaining the operations of the Satellite Offices in a business-like manner.

Subject to Section 1.6, Company is hereby expressly authorized to perform its services hereunder in whatever manner it deems reasonably appropriate to meet the day-to-day requirements of Practice Office operations in accordance with the general standards approved by the Policy Board and to maintain the lease agreements for each of the Practice Offices, including, without limitation, performance of some of the business office functions at locations other than the Main Practice Office. ROAII Princeton II will not act in a manner which would prevent Company from efficiently managing the day-to-day operations of the Main Practice Office and maintaining the operations of the Satellite Offices in a business-like manner.
