Program Managers. See Section 14.1.
Program Managers. The designated CAC Program Manager shall be the primary contact person during the execution of this Grant with responsibility for facilitating communications and efficient interaction between the CAC and the Grantee. The grantee shall also be responsible for designating appropriate staff contact for this grant. Should a change of the CAC’s Program Manager or the Grantee’s contact information become necessary, the other party shall be notified, in writing, 15 days prior to the change. The CAC Program Manager for this grant is:
Program Managers. Sunlight and Bank shall each designate a respective principal contact (each, a “Program Manager”) to facilitate day-to-day operations and resolve issues that may arise in the implementation of the Program. If the Program Managers are unable to reach agreement, then the dispute will be referred to the President of Bank and the Chief Executive Officer or another authorized officer of Sunlight who will work together in good faith towards a resolution. If the parties are unable to resolve the dispute, a party may resolve the dispute in accordance with Section 10.3.
Program Managers. (i) Navient shall appoint an individual to act as its program manager (the “Navient Program Manager”), who will have overall responsibility for implementing, coordinating, tracking and managing all activities (including billing and payment activities) under this Agreement and each Ancillary Agreement and have authority to act on behalf of Navient with respect to such matters, for a period of three years following the Effective Time. Navient hereby appoints and designates the individual set forth on Schedule 7.1(a) to act as the initial Navient Program Manager. Navient shall promptly notify SLM BankCo in writing of its removal and replacement of the Navient Program Manager.
(ii) SLM BankCo shall appoint an individual to act as its program manager (the “SLM BankCo Program Manager,” and together with the Navient Program Manager, the “Program Managers”), who will have overall responsibility for implementing, coordinating, tracking and managing all activities (including billing and payment activities) under this Agreement and each Ancillary Agreement and have authority to act on behalf of SLM BankCo with respect to such matters, for a period of three years following the Effective Time. SLM BankCo hereby appoints and designates the individual set forth on Schedule 7.1(a) to act as the initial SLM BankCo Program Manager. SLM BankCo shall promptly notify Navient in writing of the removal and replacement of the SLM BankCo Program Manager. SLM BankCo may remove and/or replace the SLM BankCo Program Manager in its sole discretion.
(iii) During the period from the Effective Time until the two-year anniversary of the Effective Time (the “Separation Oversight Period”), each of the Navient Program Manager and the SLM BankCo Program Manager shall deliver to the Separation Oversight Committee, no less frequently than monthly, such reports regarding the activities under this Agreement and the Ancillary Agreements as the Navient Program Manager or the SLM BankCo Program Manager shall deem appropriate or as may otherwise be requested from time to time by the Separation Oversight Committee.
(iv) Following the expiration of the Separation Oversight Period, (A) the Navient Program Manager will periodically report to and update the Chief Executive Officer of Navient with respect to matters relating to this Agreement and the Ancillary Agreements and (B) the SLM BankCo Program Manager will periodically report to and update the Chief Executive Officer of SLM BankCo with respect to m...
Program Managers. (a) HP and Supplier will each appoint and designate in writing a global program manager to act as the primary contact person and focal point for all communications pursuant to this Agreement, (“Global Program Manager”). The Global Program Manager will be responsible for coordinating and supervising all matters relating to the implementation of this Agreement unless the parties designate Local Program Managers.
(b) Supplier shall communicate to HP’s Global Program Manager and any applicable local Program Manager any problems and issues. Supplier shall ensure quality, professional interactions and communication, both verbal and written, at all times. Any communication by Supplier with other service providers does not constitute authority to bind HP, its officers, directors, employees, representatives or agents, or the Subsidiaries or Affiliates referenced under this Agreement.
Program Managers. Each Party shall appoint an executive to act as program manager who shall be entitled to take or provide for day-to-day decisions necessary for performance of its company’s obligations hereunder and for managing the relationship between the Parties (the “Contractor Program Manager” or the “Customers Program Managers,” as the case may be). The Program Managers shall act as the primary contact for all day-to-day and operational issues.
Program Managers. Each Party shall appoint one person to serve as a Program Manager with responsibility for overseeing program execution and being the primary point of contact between the Parties with respect to the Program.
Program Managers. The Program Managers will represent their respective Parties on all business and management issues. They will confer as needed to ensure that schedule delays and administrative issues are resolved; that inventions are being identified and reported; that intellectual property and confidentiality issues are properly addressed ; and that other activities are proceeding in accordance with this the Agreement. The Program Managers will ensure that all issues relating to the manufacture and delivery of parts, components and finished instruments are addressed properly.
Program Managers. Affimed and the Company shall each appoint a person (a “Program Manager”) who shall be the primary contacts between the Parties with respect to the research and development work to be performed under this Agreement. Affimed and the Company may each change its Program Manager upon written notice to the other Party. The Program Managers as of the Effective Date shall be (a) Xxxxx Xxxxxxxx, for Affimed, and (b) Xxxxxxxxx Xxxxxx, for the Company.
Program Managers. Throughout the Term of this Agreement, each Party shall designate a qualified employee as its Program Manager hereunder (“Program Manager”) and shall notify the other Party of such designation in writing. Each Party’s Program Manager will be a liaison with overall responsibility for managing such Party’s performance under this Agreement and with respect to the coordination of efforts and the initial resolution of problems and disputes under this Agreement. The parties will endeavor to maximize efficiency by allowing their technical, product management, support, marketing and other personnel who have primary responsibility for the Party’s performance to deal directly with their counterparts in the other Party on the matter at hand without need to contact the Program Manager first.
