Common use of Performance of Obligations of the Buyer Clause in Contracts

Performance of Obligations of the Buyer. The Buyer shall have performed all obligations required to be performed by it under this Agreement, and complied with all covenants for which compliance by it is required under this Agreement, prior to or at the Closing.

Performance of Obligations of the Buyer. The Buyer shall have performed and complied in all material respects with all agreements and obligations required and satisfied all conditions to be performed performed, complied with and satisfied by it under this Agreement, Agreement and complied with all covenants for which compliance by it is required under this Agreement, the other documents contemplated hereby prior to or at the Closing.

Performance of Obligations of the Buyer. The Buyer shall have performed all obligations required to be performed by it under this Agreement, and complied with all covenants for which compliance by it is required under this Agreement, prior to or on the Closing under this Agreement and the Seller shall have received a certificate signed by an officer of the Buyer to that effect at the Closing.

Performance of Obligations of the Buyer. The Buyer shall have performed in all obligations material respects all obligations, and complied in all material respects with the agreements and covenants, required to be performed by it under this Agreement, and or complied with all covenants for which compliance by it is required under this Agreement, hereunder at or prior to or at the Closing. The Company shall have received a certificate signed on behalf of the Buyer by an executive officer of the Buyer to such effect.

Performance of Obligations of the Buyer. The Buyer shall have performed in all material respects all obligations required to be performed by it under this Agreement, and complied with all covenants for which compliance by it is required under this Agreement, Agreement at or prior to or at the Closing.

Performance of Obligations of the Buyer. The Buyer shall have paid --------------------------------------- the Purchase Price pursuant to Section 1.2(b) hereof and shall have performed in all material respects all other obligations required to be performed by it under this Agreement, and complied in all material respects with all covenants for which compliance by it is required under this Agreement, prior to or at the Closing.

The Buyer shall have performed in all obligations Material respects its agreements and covenants contained in or contemplated by this Agreement which are required to be performed by it under this Agreement, and complied with all covenants for which compliance by it is required under this Agreement, at or prior to or at the Closing.

Performance of Obligations of the Buyer. The Buyer shall have performed all obligations required to be performed by it under this Agreement, and complied with all covenants for which compliance by it is required under this Agreement, prior to or at the Closing, including, without limitation, payment of the Purchase Price pursuant to Section 1.2(b) hereof.

The Buyer shall have performed all obligations required to be performed by it under this Agreement, and complied with all covenants for which compliance by it is required under this Agreement, prior to or at the Closing, including, without limitation, payment of the Merger Consideration pursuant to Section 1.2(b) hereof.

Performance of Obligations of the Buyer. The Buyer shall have performed all obligations and complied with each of the covenants required to be complied with and performed by it under this Agreement, and complied with all covenants for which compliance by it is required under this Agreement, Agreement on or prior to or at the ClosingClosing Date in all material respects.

Performance of Obligations of the Buyer. The Buyer and the Sub shall have performed all obligations required to be performed by it them under this Agreement, and complied with all covenants for which compliance by it them is required under this Agreement, prior to or at the Closing.

Performance of Obligations of the Buyer. The Buyer shall have performed all obligations agreements and covenants required to be performed by it under this Agreement, and complied with all covenants for which compliance by it is required under this Agreement, Agreement prior to or at the ClosingInitial Closing Date.

The Buyer shall have performed all obligations and complied with each of the covenants required to be performed by it under this Agreement, and complied with all covenants for which compliance by it is required under this Agreement, Agreement on or prior to or at the ClosingClosing Date in all material respects.

Performance of Obligations of the Buyer. The Buyer shall have performed in all material respects all obligations required to be performed by it under this Agreement, Agreement and complied with all covenants for which compliance by it is required under this Agreement, the Ancillary Agreements at or prior to or at the Closing.

Performance of Obligations of the Buyer. The Buyer shall have performed all obligations required to be performed by it under this Agreement, and complied with all covenants for which compliance by it is required under this Agreement, prior to or at the Closing, including, without limitation, payment of the Merger Consideration pursuant to Section 1.2(b).

Performance of Obligations of the Buyer. The Buyer shall have performed all obligations and agreements and complied in all material respects with all covenants and conditions required by this Agreement or any Ancillary Agreement to be performed or complied with by it under this Agreement, and complied with all covenants for which compliance by it is required under this Agreement, prior to or at the Closing.
