Performance of Obligations of the Seller Parties. The Seller Parties shall have performed in all material respects all obligations required to be performed by them under this Agreement at or prior to the Closing Date, and shall have received certificates, dated the Closing Date, signed on behalf of the Seller Parties by their respective Chief Executive Officers and Chief Financial Officers to such effect.
Performance of Obligations of the Seller Parties. The Seller Parties shall have performed in all material respects all covenants and conditions required to be performed by the Seller Parties under this Agreement on or prior to the Closing Date (including all those covenants set forth in Article V and Article VIII hereof to be performed by Seller or the Seller Parties).
Performance of Obligations of the Seller Parties. The Seller Parties shall have performed all obligations required to be performed by them under this Agreement with respect to Trans-West and the Company prior to the Closing Date, and the Purchaser shall have received a certificate signed by the Seller Parties to such effect.
Performance of Obligations of the Seller Parties. The Seller Parties shall have performed in all material respects all covenants and agreements required to be performed by them under this Agreement on or prior to the Closing Date.
Performance of Obligations of the Seller Parties. The Seller Parties shall have performed or complied with or caused to be performed or complied with, in all material respects, the obligations and covenants required by this Agreement to be performed or complied with by them by the time of the Closing. Purchaser shall have received a certificate, dated as of the Closing Date and signed by an authorized officer of UCB, as to the satisfaction of the foregoing condition.
