Performance of Obligations of the Shareholder. The Shareholder will have performed in all material respects all agreements and covenants required to be performed by her under this Agreement prior to the Closing Date except (i) as otherwise contemplated or permitted by this Agreement and (ii) as a result of actions taken or not taken at the direction of or after consultation with and written concurrence of Bridgeline Digital, and Bridgeline Digital will have received a certificate signed by the Shareholder to such effect on the Closing Date.
Performance of Obligations of the Shareholder. The Shareholder has performed in all material respects all covenants and agreements required to be performed by it hereunder at or before the Closing.
Performance of Obligations of the Shareholder. The Shareholder shall have performed and complied with all the covenants, agreements, obligations and conditions required by this Agreement to be performed or complied with by the Shareholder at or prior to the Effective Date.
Performance of Obligations of the Shareholder. Placer shall have received the Shareholder Agreement and, if requested by Placer or required by Law, the Shareholder Consent executed and delivered by the California Fund as contemplated by Section 6.12, each of which shall remain in full force and effect. The California Fund shall have performed in all material respects all obligations required to be performed by it under the Shareholder Agreement.
