Common use of PERFORMANCE SHARE RETENTION UNIT GRANT Clause in Contracts

PERFORMANCE SHARE RETENTION UNIT GRANT. You shall receive a Performance Share Retention Unit Grant with respect to 100,000 shares of Verizon common stock. The Performance Share Retention Unit Grant is contingent on your timely execution of this Agreement. The terms of the Performance Share Retention Unit Grant are set forth in the Performance Share Retention Unit Grant Agreement attached hereto as Exhibit B, which is incorporated herein by reference. Your rights under the Performance Share Retention Grant following the termination of your employment shall be governed by paragraph 13 ("Termination Of Employment") and by the terms of such Performance Share Retention Unit Grant Agreement. If you do not timely execute this Agreement, you shall not receive the Performance Share Retention Unit Grant.

The Performance Share Retention Unit Grant is contingent on your timely execution of this Agreement. Your rights under the Performance Share Retention Grant following the termination of your employment shall be governed by paragraph 13 ("Termination Of of Employment") and by the terms of such Performance Share Retention Unit Grant Agreement. If you do not timely execute this Agreement, you shall not receive the Performance Share Retention Unit Grant.

Your rights under the Performance Share Retention Grant following the termination of your employment shall be governed by such Performance Share Retention Grant Agreement, rather than by the terms of paragraph 13 ("Termination Of of Employment") and by the terms of such Performance Share Retention Unit Grant Agreement). If you do not timely execute this Agreement, you shall not receive the Performance Share Retention Unit Grant.
