Performance Under Related Agreement. All conditions precedent to the closing of the transactions contemplated by the Related Agreement shall have been satisfied or waived and the Buyer and Escrow Holder thereunder shall be ready, willing and able to perform thereunder and there shall be no default of Buyer under such agreement. The conditions set forth in this SECTION 9.2 are solely for the benefit of Seller and may be waived only by Seller. Seller shall at all times have the right to waive any such condition. Any such waiver or waivers shall be in writing and shall be delivered to Buyer and Escrow Holder.
