Advance Bookings. Buyer shall assume and honor for its account all Bookings relating to dates after the Proration Time set forth on the Schedule of Advance Bookings delivered by Seller to Buyer at the Close of Escrow pursuant to SECTION 4.2.1.9.
Advance Bookings. All Advance Bookings will be disclosed in the Due Diligence Materials.
Advance Bookings. Buyer shall receive a credit for advance payments and security deposits, if any, under advance room and event bookings to the extent they relate to a period after the Cutoff Time.
Advance Bookings. Any Advance Bookings will be paid to Buyer or, at Buyer’s option, credited to Buyer at Closing;
Advance Bookings. Any other documents and other diligence items reasonably requested by Purchaser required to complete its due diligence review. In the event Seller fails to make available any of the Submission Matters as provided above or fails to provide any of the items specified in Section 2.4(e) below as provided therein, Purchaser shall give Seller notice thereof so that Seller shall have an opportunity to cure such failure by providing such items. In the event Seller does not provide such Submission Matters or items specified in Section 2.4(e) prior to the expiration of the Study Period, Purchaser’s sole remedy shall be to terminate this Agreement on or before the expiration of the Study Period and receive a return of the Deposit. In the event Purchaser does not so terminate this Agreement prior to the expiration of the Study Period, Purchaser shall be deemed to have waived such failure.

To Seller’s knowledge, Xxxxxx has delivered to Purchaser a correct and complete (in all material respects) list of all Advance Bookings as of a date no later than five (5) days prior to the Effective Date, which shall be updated by Seller as of Closing and delivered to Purchaser at Closing.
Advance Bookings. The Performer cannot be booked more than 12 months in advance of the Client’s Event date.
Advance Bookings. The register of reservations and agreements made or entered into by Seller in the ordinary course of business prior to Closing for hotel rooms or meeting rooms to be utilized after Closing, or for catering services or other hotel services to be provided after Closing (the “Advance Bookings”), which register of Advance Bookings shall be updated and delivered to Purchaser at Closing; and
Advance Bookings. All agreements and reservations for the use or occupancy of guest rooms, banquet facilities or other facilities at the Hotel, including any off-site catering, for any period after the Adjustment Time (as hereinafter defined), including all deposits held by Seller or Operator with respect thereto (the “Advance Bookings”). Seller will request the Receiver to furnish Purchaser with a current schedule of Advance Bookings promptly after the execution of this Agreement, and if Purchaser proceeds to Closing then Seller will also request an updated schedule (the “Bookings Update” ) as of one (1) day prior to the Closing Date.
