Common use of Periodic Review of Buyer’s Financial Status Clause in Contracts

Periodic Review of Buyer’s Financial Status. Buyer agrees to provide to Seller audited annual financial statements of Buyer and any guarantor of Buyer’s obligations under this Agreement, specifically including, but not limited to, CST Brands, Inc. (the “Guarantor”), if any, no later than six months after the end of the relevant company’s fiscal year, as well as such additional financial information as Seller may reasonably request from time-to-time. If Buyer’s provided financial information reflects a materially changed financial position of either Buyer or any Guarantor, or if at any xxxx Xxxxxx has other credible information that the financial position of either Buyer or any Guarantor has materially changed, then, except as otherwise expressly provided herein, Seller has the right to adjust the Unsecured Credit Line, based on its standard credit criteria and guidelines.
