Common use of Permissive Supplementary Benefits Clause in Contracts

Permissive Supplementary Benefits. The Corporation may, but shall not be required to, supplement the right to indemnification set forth in Section 5.1, above, against Liability and advancement of Expenses under Section 5.1, above, by either or both of the following: (a) purchasing insurance on behalf of any one or more of such Directors, Officers or employees, whether or not the Corporation would be obligated to indemnify or advance Expenses to such Director, Officer or employee under Section 5.1, above; and (b) entering into individual or group indemnification agreements with any one or more of such Directors, Officers or employees.

The Corporation may, but shall not be required to, supplement the foregoing right to indemnification set forth in Section 5.1, above, against Liability liability and advancement of Expenses expenses under Section 5.1, above, 8.1 by either or both of the following: (a) purchasing the purchase of insurance on behalf of any one or more of such Directors, Officers Trustees or employeesOfficers, whether or not the Corporation would be obligated to indemnify or advance Expenses to such Director, Trustee or Officer or employee under Section 5.18.1, above; and (b) entering into individual or group indemnification agreements with any one or more of such Directors, Officers Trustees or employeesOfficers.
