Permitted and Required Uses and Disclosures of PHI. Except as otherwise set forth in this Agreement, the parties shall be permitted to use and/or disclose Protected Health Information only for the purpose of conducting the transactions contemplated under this Agreement and only for purposes within the scope of that party’s work conducted on behalf of the other party. The parties agree that Associate shall be permitted to use and/or disclose Protected Health Information provided or made available from CSS for the following stated purpose:

Permitted and Required Uses and Disclosures of PHI. 2.1. Business Associate is permitted to use and disclose PHI (a) to perform functions, activities and the Cloud Solutions for, or on behalf of, Covered Entity as required to perform Business Associate’s obligations in the Agreement; (b) as Required by Law; and (c) as otherwise permitted in this Schedule; provided, however, Business Associate may not use or disclose PHI in a manner that would violate the requirements of the Privacy Rule if done by Covered Entity, except as provided in Sections 2.2 – 2.4.

Contractor shall not use or disclose such Protected Health Information or Personally Identifiable Information obtained in connection with Contractor Exchange Functions other than as is expressly permitted under the Exchange Requirements and only to the extent necessary to perform the functions called for within this Agreement.
