Change Control Procedures. (a) No changes or additions may be made to any Work Order without the written agreement of LAUSD as evidenced by a duly executed Change Order.
(b) Contractor will not take an action or make a decision which may have a material effect on LAUSD or which adversely affects the function or performance of, or decreases the resource efficiency of, the Services, including implementing changes in technology or equipment and software configuration, without first obtaining LAUSD’s written approval, which approval LAUSD may withhold in its sole discretion as respects any change which may have an adverse effect on LAUSD or the Services.
Change Control Procedures. The Parties shall use the following procedures (the “Change Control Procedures”) to implement Changes.
Change Control Procedures. Any proposed changes to the Services set forth in this Engagement Schedule must be made in accordance with the Change Control Procedures set forth in Attachment F.
Change Control Procedures. In the event that either party desires to change the terms of this Contract, the following procedures will apply: The Party requesting the change will deliver a “Change Request” (in the form contained in Annex 4 to this Agreement) which describes: the nature of the change the reason for the change the effect that the requested change will have on the scope or specification of the Services any changes to the Charges and the Term. Upon receipt of a Change Request, the receiving Party’s authorised representative will contact his/ her counterpart within 5 Working Days to discuss and agree the Change Request. The parties will negotiate the proposed changes to the Agreement in good faith and agree a timeline in which to finalise the Change Control Notice in the form set out in Annex 4. Neither party is obliged to agree to a Change Request, but if the parties do agree to implement such a Change Request, the appropriate authorised representatives of both parties will sign the Change Request which will be effective from the date set out in the Change Request. If there is any conflict between the terms and conditions set out in the Agreement and the Change Request, then the terms and conditions set out in the most recent fully executed Change Request will apply.

27.1.2 the reason for the change
27.1.3 the effect that the requested change will have on the scope of the Services
27.1.4 any changes to the Fees, the Deliverables and the Duration

27.4 If there is any conflict between the terms and conditions set out in the Contract and the Change Request, then the terms and conditions set out in the most recent fully executed Change Request will apply.
Annexe 1 - Change Control Notice
Change Control Procedures. Either party may during the implementation of the Project (as detailed in the SOW) request a change to any aspect of the Project Plan (“Change Request”). Such Change Request is to be delivered by the requesting party's Project manager (a “Project Manager”) to the other party's Project Manager. For the avoidance of doubt, any redefinition of the scope of services by Customer, or the provision by Customer of new details in respect of the implementation, will be deemed to constitute a Change Request. A Change Request must contain a detailed and complete explanation of the proposed changes. If there is any dispute as to whether a change requested by Customer is within or beyond the scope of the Project Plan, Ventiv will not be obliged to proceed with that change until that dispute is resolved and will proceed in accordance with the Project Plan as it then exists. If a Change Request is executed by authorized signatories of both parties, Ventiv will perform the services detailed in the Change Request in accordance with the terms and conditions of this Agreement (subject to any specific terms of the Change Request itself), and such executed Change Request will constitute an amendment to this Agreement and the applicable Statement of Work.
Change Control Procedures. Change to the VC and the Replacement Operating Contracts and WCA Operations from the operations set out in the agreed Service Delivery Plan will be governed by the procedures set out in this Schedule 4
Change Control Procedures. Except as otherwise set forth in this Agreement, the Account Governance Schedule or the Technology Process Governance Schedule, all changes and approval procedures for performance under this Agreement shall be made in accordance with the CHANGE CONTROL PROCEDURES SCHEDULE.
Change Control Procedures. 8.1. Supplier shall be entitled to change the Contract at any time to comply with Applicable Laws or the direction or instructions of any Authority or Third Party, or to reflect changes within the Supplier business that were not foreseen at the time the Contract was signed and will publish any change in line with clause 8.2.
8.2. Unless otherwise stated in the Contract, Supplier shall publish any changes to the Order Form and/or Contract (including the Charges) on the Customer invoice or in accordance with clause 17.17 as follows:
8.2.1. For changes that are to the Customer’s detriment (this includes any increases to the Charges or changes that require the Customer to make any changes to how the Services are used), at least fourteen (14) days before the change is to take effect: and
8.2.2. For all other changes at least one (1) day before the change is to take effect.
8.3. Any revised Conditions that are issued and agreed as variations or additions to the original Contract shall automatically apply to the original Contract.
8.4. Either Party may request changes to any of the Services under the Contract (in each case, a “Change Request”). Any Change Request shall be made in writing and sent to the Customer representative or Supplier representative (as appropriate) and shall set out the change in sufficient detail so as to enable the other Party to make a proper assessment of such change.
8.5. Where the Parties propose a Change Request, Supplier shall provide a written estimate of the likely time required to implement the change, any necessary variations to the Charges as a result of the change, the likely effect of the change on the Services, and any other impact of the change on the terms of this Contract. The Customer shall notify Supplier whether it accepts or reasonably rejects the Change Request within five (5) Business Days of its receipt of the written estimate.
8.6. A Change Request shall become a “Change Order” when the Change Order form has been signed by a duly authorized representative of both Parties to signify their approval to the change. Until such time the Parties shall continue to perform their respective obligations under the Contract without taking into account the Change Request. Once duly signed, Change Orders shall be deemed incorporated into Contract and Supplier shall commence performance of the Change Order accordingly.
8.7. Neither Party shall be required to accept any Change Request made by the other Party and shall not be bound ...
Change Control Procedures. Contractor shall ensure that its service providers, subcontractors, and any third parties, including any data hosting providers, performing any services related to this Agreement shall comply with all terms and conditions specified in this SLA unless County, in writing, excuses specific compliance with any such term or condition. Contractor shall provide County with a list of any such service providers, subcontractors or other third parties on an annual basis, upon County’s request, and promptly upon a material change in the composition of such entities.
