Permitted Transfer Procedures. If any Stockholder wishes to transfer Shares to a Permitted Transferee or Partner Transferee under Section 2.2, such Stockholder shall give notice to the Company of its intention to make such a transfer not less than five (5) days prior to effecting such transfer, which notice shall state the name and address of each Permitted Transferee or Partner Transferee to whom such transfer is proposed, the relationship of such Permitted Transferee or Partner Transferee to such Stockholder, and the number of Shares proposed to be transferred to such Permitted Transferee or Partner Transferee.

Permitted Transfer Procedures. The grantee shall give notice to the Company and AMN Acquisition Corp., a Delaware corporation ("AMN") of its intention to make any transfer permitted under Section 8(a)(ii) not less than thirty (30) calendar days prior to effecting such transfer, which notice shall state the name and address of the party to whom such transfer is proposed and the Stock proposed to be transferred.

If any New Stockholder wishes to transfer Shares to a Permitted Transferee under Section 2.2, such New Stockholder shall give notice to the Company of its intention to make such a transfer not less than five (5) Business Days prior to effecting such transfer (except in the case of a transfer to the estate of a deceased Stockholder, and such estate shall give such notice as soon as practicable after such transfer) which notice shall state the name and address of each Permitted Transferee to whom such transfer is proposed, the relationship of such Permitted Transferee to such Stockholder, and the number of Shares proposed to be transferred to such Permitted Transferee; provided that no such notice will be required for the Xxxx -------- Stockholders to pledge Shares on the Closing Date of the Xxxx Transactions in accordance with and subject to compliance on the Closing Date with the requirements of clause (iii) of the definition of "Permitted Transferee."

If any Shareholder wishes to transfer Restricted Shares to a Permitted Transferee under Section 2.2 such Shareholder shall give notice to the other Shareholders of its intention to make such a transfer not less than two (2) Business Day prior to effecting such transfer, which notice shall state the name and address of each Permitted Transferee to whom such transfer is proposed, the relationship of such Permitted Transferee to such Shareholder, and the number of Restricted Shares proposed to be transferred to such Permitted Transferee.
Permitted Transfer Procedures. If any member of the TCR Group or Mxxxxx or any of their respective Affiliates wishes to transfer Shares to a Permitted Transferee under Section 5.4, such party shall give written notice to the other party of its intention to make any such transfer not less than ten (10) days prior to effecting such transfer, which notice shall state the name and address of each Permitted Transferee to whom such transfer is proposed and the number of Shares proposed to be transferred to such Permitted Transferee; provided that the Permitted Transferee shall have assumed in writing all of the obligations of his transferor imposed by this Agreement and shall have agreed to be bound by each of the terms and provisions of this Agreement to which such transferor was bound.

(a) If any Party wishes to Transfer its Company Securities to a Permitted Transferee pursuant to Section 8.02(a), it shall give notice to the JV of its intention to make such a Transfer not less than ten (10) Business Days prior to effecting such Transfer, which notice shall state the name and address of each Permitted Transferee to whom such Transfer is proposed, the relationship of such Permitted Transferee to such transferring Shareholder, and the number of Shares proposed to be Transferred to such Permitted Transferee.
Permitted Transfer Procedures. If MBF wishes to transfer shares of Common Stock to a Permitted Transferee under Section 2(c), MBF shall give notice to the Company of his intention to make such a transfer not less than seven (7) days prior to effecting such transfer, which notice shall state the name and address of each Permitted Transferee to whom such transfer is proposed, the relationship of such Permitted Transferee to MBF, and the number of shares of Common Stock proposed to be transferred to such Permitted Transferee.
