Permitted Uses and Disclosures by Business Associate. (a) Except as otherwise limited in this Agreement, Business Associate may use or disclose PHI to perform functions, activities, or services for, or on behalf of, Customer as requested by Customer provided that such use or disclosure would not violate the HIPAA Rules if done by Customer.

(a) Except as otherwise limited in this Agreement, Business Associate may only use or disclose PHI to perform functions, activities, or services for, or on behalf of, Customer Covered Entity as requested by Customer specified in this Business Associate Agreement, provided that such use or disclosure would not violate the HIPAA Rules if done by CustomerCovered Entity or the minimum necessary policies and procedures of the Covered Entity.

Except as otherwise limited in this Agreement, Business Associate may use or disclose PHI to perform functions, activities, or services for, or on behalf of, Customer as requested by Customer provided that or to provide services to, Covered Entity for the following purposes, if such use or disclosure of PHI would not violate the HIPAA Rules Privacy Rule if done by CustomerCovered Entity or the minimum necessary policies and procedures of the Covered Entity: Management of the non-medical aspects of Covered Entity’s business as provided in the Management and Medical Services Agreement between Covered Entity and Business Associate, dated __________, 2005.

(a) Except as otherwise limited restricted in this Agreement, Business Associate may use or disclose PHI “PHI” to perform its functions, activities, or services for, or on behalf of, Customer Provider as requested by Customer specified in the services agreement(s) identified in Section II, provided that such use or disclosure would not violate the HIPAA Rules “Privacy Rule” if done by CustomerProvider or the minimum necessary policies and procedures of the Provider.

(a) Except as otherwise limited in this Agreement, Business Associate may use or disclose PHI to perform functions, activities, or services for, or on behalf of, Customer Covered Entity as requested by Customer specified in the Franchise Agreement or which are otherwise provided to Business Associate’s “Interim HealthCare” franchise system generally, provided that such use or disclosure would not violate the HIPAA Rules Privacy Rule or the Security Rule if done by CustomerCovered Entity or the minimum necessary policies and procedures of Covered Entity.

Except as otherwise limited in to this Agreement, Business Associate may use or disclose PHI to perform functions, activities, or services for, or on behalf of, Customer Covered Entity as requested by Customer specified in the Service Arrangement, provided that such use or disclosure would not violate the HIPAA Rules Privacy Rule if done by CustomerCovered Entity or the minimum necessary policies and procedures of Covered Entity required by 45 C.F.R. §164.514(d).

Except as otherwise limited in this Business Associate Agreement, Business Associate may use or disclose PHI to perform functionsunder the Underlying Agreement(s), activities, or services for, or on behalf of, Customer as requested by Customer provided that such use or disclosure would not violate the HIPAA Rules Subpart E of 45 CFR Part 164 if done by CustomerCovered Entity.

(a1) Except as otherwise limited in this Agreement, Business Associate may use or disclose PHI to perform functions, activities, activities or services for, or on behalf of, Customer Covered Entity as requested by Customer specified in this Agreement, provided that such use or disclosure would not violate (i) the HIPAA Rules Privacy Rule if done by CustomerCovered Entity or (ii) the minimum necessary policies and procedures of Covered Entity.

All other Uses or Disclosures by Business Associate not authorized by this Agreement, or by specific instruction of Covered Entity, are prohibited.

Unless otherwise permitted in this Appendix, in the Contract or required by law, Business Associate may not disclose/re- disclose PHI except to Covered Entity.
