Common use of Personal Properties Clause in Contracts

Personal Properties. Section 4.16 of the Disclosure Schedule sets forth a list, complete and accurate in all material respects, which describes in reasonable detail, all machinery, equipment and other tangible assets included in the Purchased Assets (except for stamping dies, failure analysis equipment, production maintenance equipment and tool room equipment, and certain equipment that is located at the facilities of certain suppliers of the Business) and the location of such machinery, equipment and other tangible assets (for the avoidance of doubt, such Section of the Disclosure Schedule shall not include any tooling not owned by Sellers or any Purchased Entity). Purchaser acknowledges and agrees that (a) within two (2) business days after the date hereof, Sellers may update Section 4.16 of the Disclosure Schedule to include a list, complete and accurate in all material respects, which describes in reasonable detail, certain equipment that is located at the facilities of certain suppliers, and (b) prior to the Closing, Sellers shall update Section 4.16 of the Disclosure Schedule to include a list, complete and accurate in all material respects, which describes in reasonable detail, all stamping dies, failure analysis equipment, production maintenance equipment and tool room equipment included in the Purchased Assets, including the location of such items.
