Common use of Personnel Agreements Clause in Contracts

Personnel Agreements. All personnel, including employees, agents, consultants, and contractors, who have contributed to or participated in the conception and development of any of the Intellectual Property on behalf of the Company either: (i) have been party to a "work-for-hire" arrangement or agreement with the Company in accordance with applicable Laws, that has accorded the Company full, effective, exclusive, and original ownership of all tangible and intangible property thereby arising; or (ii) have executed appropriate instruments of assignment in favor of the Company as assignee that have conveyed to the Company full, effective, and exclusive ownership of all tangible and intangible property thereby arising.
