Common use of Persons Deemed Certificateholder Clause in Contracts

Persons Deemed Certificateholder. Prior to due presentation of a Certificate for registration of transfer, the Owner Trustee, the Certificate Registrar, the Securities Administrator or any Certificate Paying Agent may treat the Certificateholder as the owner of such Certificate for the purpose of receiving distributions pursuant to Section 4.2 and for all other purposes whatsoever, and none of the Trust, the Owner Trustee, the Certificate Registrar, the Securities Administrator or any Certificate Paying Agent shall be bound by any notice to the contrary.
