Common use of Persons Deemed Certificateholder Clause in Contracts

Persons Deemed Certificateholder. Every Person by virtue of becoming a Certificateholder in accordance with this Agreement shall be deemed to be bound by the terms of this Agreement. Prior to due presentation of a Certificate for registration of transfer, the Owner Trustee, the Certificate Registrar, the Note Insurer and any agent of the Owner Trustee, the Note Insurer and the Certificate Registrar, may treat the Person in whose name any Certificate shall be registered in the Certificate Register as the owner of such Certificate for the purpose of receiving distributions pursuant to the Sale and Servicing Agreement and the Spread Account Agreement and for all other purposes whatsoever, and none of the Owner Trustee, the Note Insurer or the Certificate Registrar nor any agent of the Owner Trustee, the Note Insurer or the Certificate Registrar shall be bound by any notice to the contrary.

The Owner Trustee may request a copy of the Certificate Register from the Certificate Registrar and the Certificate Registrar shall provide it to the Owner Trustee with 5 Business Days.
