Common use of Persons Entitled to Benefit of Agreement Clause in Contracts

Persons Entitled to Benefit of Agreement. This Agreement shall inure to the benefit of and be binding upon each party hereto and its respective successors. This Agreement and the terms and provisions hereof are for the sole benefit of only those persons, except that (x) the representations, warranties, indemnities and agreements of the Company contained in this Agreement shall also be deemed to be for the benefit of the Remarketing Agent and the person or persons, if any, who control the Remarketing Agent within the meaning of Section 15 of the Securities Act and (y) the indemnity agreement of the Remarketing Agent contained in Section 7 of this Agreement shall be deemed to be for the benefit of the Company’s directors and officers who sign the Registration Statement, if any, and any person controlling the Company within the meaning of Section 15 of the Securities Act. Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to herein, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to herein, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to herein, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

This Agreement and the terms and provisions hereof are for the sole benefit of only those persons, except that (xA) the representations, warranties, indemnities and agreements of the Company contained in this Agreement shall also be deemed to be for the benefit of the Remarketing Agent and the person or persons, if any, who control the Remarketing Agent any International Manager within the meaning of Section 15 of the Securities Act and (yB) the indemnity agreement of the Remarketing Agent International Managers contained in Section 7 8(b) of this Agreement shall be deemed to be for the benefit of directors of the Company’s directors and , officers of the Company who sign have signed the Registration Statement, if any, Statement and any person controlling the Company within the meaning of Section 15 of the Securities Act. Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to hereinin this Section 13, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

Persons Entitled to Benefit of Agreement. This Agreement shall inure to the benefit of and be binding upon each party hereto and its respective successors. This Agreement and the terms and provisions hereof are for the sole benefit of only those persons, except that (x) the representations, warranties, indemnities and agreements of the Company Issuers contained in this Agreement shall also be deemed to be for the benefit of the Remarketing Agent and the person or persons, if any, who control the Remarketing Agent within the meaning of Section 15 of the Securities Act and (y) the indemnity agreement of the Remarketing Agent contained in Section 7 of this Agreement shall be deemed to be for the benefit of the CompanyComany’s and PPL Capital Funding’s directors and officers who sign the Registration Statement, if any, and any person controlling the Company or PPL Capital Funding within the meaning of Section 15 of the Securities Act. Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to herein, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

Persons Entitled to Benefit of Agreement. This Agreement shall inure to the benefit of and be binding upon each party hereto and its respective successors. Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to herein, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

This Agreement and the terms and provisions hereof are for the sole benefit of only those persons, except that (xA) the representations, warranties, indemnities and agreements of the Company contained in this Agreement shall also be deemed to be for the benefit of the Remarketing Agent and the person or persons, if any, who control the Remarketing Agent within Bear Steaxxx xxxhin the meaning of Section 15 of the Securities Act and (yB) the indemnity agreement of the Remarketing Agent contained Bear Steaxxx xxxtained in Section 7 8(b) of this Agreement shall be deemed to be for the benefit of directors of the Company’s directors and , officers of the Company who sign have signed the Registration Statement, if any, Statement and any person controlling the Company within the meaning of Section 15 of the Securities Act. Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to hereinin this Section 13, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to herein, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

Persons Entitled to Benefit of Agreement. This Supplemental Agreement shall inure to the benefit of and be binding upon each party hereto and its respective successors. This Supplemental Agreement and the terms and provisions hereof are for the sole benefit of only those persons, except that (x) the representations, warranties, indemnities and agreements of the Company contained in this Supplemental Agreement shall also be deemed to be for the benefit of the Remarketing Agent Agents and the person or persons, if any, who control the Remarketing Agent Agents within the meaning of Section 15 of the Securities Act and (y) the indemnity agreement of the Remarketing Agent Agents contained in Section 7 8 of this Supplemental Agreement shall be deemed to be for the benefit of the Company’s directors and officers who sign the Registration Statement, if any, and any person controlling the Company within the meaning of Section 15 of the Securities Act. Nothing contained in this Supplemental Agreement is intended or shall be construed to give any person, other than the persons referred to herein, any legal or equitable right, remedy or claim under or in respect of this Supplemental Agreement or any provision contained herein.

This Agreement and the terms and provisions hereof are for the sole benefit of only those persons, except that (xA) the representations, warranties, indemnities and agreements of the Company contained in this Agreement shall also be deemed to be for the benefit of the Remarketing Agent and the person or persons, if any, who control the Remarketing Agent Underwriter within the meaning of Section 15 of the Securities Act and (yB) the indemnity indemni- ty agreement of the Remarketing Agent Underwriter contained in Section 7 8(b) of this Agreement shall be deemed to be for the benefit of directors of the Company’s directors and , officers of the Company who sign have signed the Registration Statement, if any, Statement and any person controlling the Company within the meaning of Section 15 of the Securities Act. Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to hereinin this Section 12, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

This Agreement and the terms and provisions hereof are for the sole benefit of only those persons, except that (x) the representations, warranties, indemnities and agreements of the Company Corporation contained in this Agreement shall also be deemed to be for the benefit of the each Remarketing Agent and the person or persons, if any, who control the such Remarketing Agent within the meaning of Section 15 of the Securities Act and (y) the indemnity agreement of the Remarketing Agent Agents contained in Section 7 of this Agreement shall be deemed to be for the benefit of the CompanyCorporation’s directors and officers who sign the Registration Statement, if any, and any person controlling the Company Corporation within the meaning of Section 15 of the Securities Act. Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to herein, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

Persons Entitled to Benefit of Agreement. This Agreement shall inure to the benefit of and be binding upon each party hereto and its respective successors. This Agreement and the terms and provisions hereof are for the sole benefit of only those persons, except that (x) the representations, warranties, indemnities and agreements of the Company Issuers contained in this Agreement shall also be deemed to be for the benefit of the Remarketing Agent and the person or persons, if any, who control the Remarketing Agent within the meaning of Section 15 of the Securities Act and (y) the indemnity agreement of the Remarketing Agent contained in Section 7 of this Agreement shall be deemed to be for the benefit of the Companyeach Issuer’s directors and officers who sign the Registration Statement, if any, and any person controlling the Company each Issuer within the meaning of Section 15 of the Securities Act. Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to herein, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

Persons Entitled to Benefit of Agreement. This Agreement shall inure to the benefit of and be binding upon each party hereto the Underwriters, the Company, and its their respective successors. This Agreement and the terms and provisions hereof are for the sole benefit of only those persons, except that (xA) the representations, warranties, indemnities and agreements of the Company contained in this Agreement shall also be deemed to be for the benefit of the Remarketing Agent and the person or persons, if any, who control the Remarketing Agent any Underwriter within the meaning of Section 15 of the Securities Act and (yB) the indemnity agreement of the Remarketing Agent Underwriters contained in Section 7 7(b) of this Agreement shall be deemed to be for the benefit of directors of the Company’s directors and officers , officers, employees of the Company who sign have signed the Registration Statement, if any, Statement and any person controlling the Company within the meaning of Section 15 of the Securities Act. Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to hereinin this Section 13, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

This Agreement and the terms and provisions hereof are for the sole benefit of only those persons, except that (x) the representations, warranties, indemnities and agreements of the Company contained in this Agreement shall also be deemed to be for the benefit of the Remarketing Agent and the person or persons, if any, who control the Remarketing Agent within the meaning of Section 15 of the Securities Act and (y) the indemnity agreement of the Remarketing Agent contained in Section 7 11(b) of this Agreement shall be deemed to be for the benefit of the Company’s directors and officers who sign the Registration Statement, if any, and any person controlling the Company within the meaning of Section 15 of the Securities Act. Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to herein, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

Persons Entitled to Benefit of Agreement. This Agreement shall inure to the benefit of and be binding upon each party hereto and its respective successors. This Agreement and the terms and provisions hereof are for the sole benefit of only those persons, except that (x) the representations, warranties, indemnities and agreements of the Company contained in this Agreement shall also be deemed to be for the benefit of the Remarketing Agent Agents and the person or persons, if any, who control the Remarketing Agent Agents within the meaning of Section 15 of the Securities Act and (y) the indemnity agreement of the several Remarketing Agent Agents contained in Section 7 8 of this Agreement shall be deemed to be for the benefit of the Company’s directors and officers who sign the Registration Statement, if any, and any person controlling the Company within the meaning of Section 15 of the Securities Act. Nothing contained in this Agreement is intended or shall be construed to give any person, other than the persons referred to herein, any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.

Persons Entitled to Benefit of Agreement. This Agreement shall inure to the benefit of and be binding upon each party hereto the Warrant Conversion Agent, the Company and its their respective successors. This Agreement and the terms and provisions hereof are for the sole benefit of only those persons, except that (xa) the representations, warranties, indemnities and agreements of the Company contained in this Agreement shall also be deemed to be for the benefit of the Remarketing Agent and the person or persons, if any, who control the Remarketing Warrant Conversion Agent within the meaning of Section 15 of the Securities Act Act, and (yb) the indemnity agreement of the Remarketing Warrant Conversion Agent contained in Section Paragraph 7 of this Agreement hereof shall be deemed to be for the benefit of directors of the Company’s directors and , officers of the Company who sign have signed the Registration Statement, if any, Statement and any person controlling who controls the Company within the meaning of Section 15 of the Securities Act. Nothing contained in this Agreement is intended or shall be construed to give any person, person other than the persons referred to herein, mentioned in the preceding two sentences any legal or equitable right, remedy or claim under or in respect of this Agreement or any provision contained herein.
