Persons Having Rights Under Agreement. Nothing in this Agreement expressed or implied and nothing that may be inferred from any of the provisions hereof is intended, or shall be construed, to confer upon, or give to, any person or corporation other than the Company, the Preference Warrant Agent and the holders of the Preference Warrant Certificates and, with respect to Sections 4.03 and 4.04, the holders of Preference Warrant Shares issued pursuant to Preference Warrants, any right, remedy or claim under or by reason of this Agreement or of any covenant, condition, stipulation, promise or agreement hereof; and all covenants (except for Section 4.03 which shall be for the benefit of all holders of Preference Warrant Shares issued pursuant to Preference Warrants), conditions, stipulations, promises and agreements in this Agreement contained shall be for the sole and exclusive benefit of the Company and the Preference Warrant Agent and their successors and of the holders of the Preference Warrant Certificates.
