ASSIGNMENT AND TRANSFER RESTRICTIONS. ARTICLE XXVI.
ASSIGNMENT AND TRANSFER RESTRICTIONS. 18.1 Except as provided in Section 18.2, Customer may not transfer or assign all or any part of its interest under this Agreement, or delegate any duties, burdens, or obligations arising hereunder, without Urbanlink's consent, which consent shall not be unreasonably withheld or delayed. A transfer or assignment in violation of this Article 18 shall constitute a material breach of this Agreement. If any such consent is given, Customer nevertheless shall remain fully and primarily liable for all obligations under this Agreement. Notwithstanding anything to the contrary contained in this Article 18, Customer may sell or lease any telecommunications circuits, capacity or other services comprising the Capacity to third parties.
ASSIGNMENT AND TRANSFER RESTRICTIONS. 23.1 Except as provided below in this Section 23.1 and as provided in Section 23.2, User may not transfer or assign all or any part of this Agreement or of its interest under this Agreement, or delegate any duties, burdens, or obligations arising hereunder, without AGLN's prior express written consent, which consent may be given or withheld in AGLN's sole discretion. In no event whatsoever shall User transfer, sell, assign, condo, swap, exchange, lease, sublease, license, sublicense or grant indefeasible or other rights of use in or to any one or more of the User Dark Fibers or User’s interest therein, or enter into any other arrangement with any Person for such Person’s use of any one or more of the User Dark Fibers. A transfer, assignment or other action in violation of this Article 23 shall constitute a material breach of this Agreement and shall be null and void. If any such consent is given, User nevertheless shall remain fully and primarily liable for all obligations of User under this Agreement. Nothing in this section shall be construed to restrict the sale of Telecommunications Services by User.
ASSIGNMENT AND TRANSFER RESTRICTIONS. (a) This Agreement may not be assigned by any Purchaser (or any assignee thereof) and no Warrant may be sold, transferred or otherwise disposed of (any such sale, transfer or other disposition is herein referred to as a “sale”), except in compliance with this Section 1.07. Subject to the other provisions of this Section 1.07, a Purchaser (or an assignee thereof) may only transfer Warrants to a Person to whom such Purchaser (or such assignee thereof) could have transferred the Shares issuable upon exercise thereof assuming such Shares were subject to the Stockholders Agreement; provided, however, that for purposes hereof, the requirement in the Stockholders Agreement that a transferee agrees to become a party to the Stockholders Agreement does not apply to such transfer. Such transferee shall become a party to the Stockholders Agreement prior to the exercise of such Warrant. Each Purchaser (and each assignee thereof) may assign any or all of its rights in this Agreement to any Person to whom it would have been permitted to sell Warrants (as provided in Section 1.07(b) or (d)), so long as such assignee assumes in a writing reasonably satisfactory to the Company all obligations of the assignor hereunder.

If any such consent is given, the assigning Party nevertheless shall remain fully and primarily liable for all obligations under this Agreement. Nothing in this section shall be construed to restrict the sale of Telecommunications Services, Internet, VoIP or similar services by User.
ASSIGNMENT AND TRANSFER RESTRICTIONS. 23.1 Except as provided in Sections 23.2 and 23.3, Customer may not transfer or assign all or any part of its interest under this Agreement, or delegate any duties, burdens, or obligations arising hereunder, without WFI's consent, which consent may be given or withheld in WFI's sole discretion. A transfer or assignment in violation of this Article 23 shall constitute a material breach of this Agreement. In the event of any assignment or transfer, Customer nevertheless shall remain fully and primarily liable for all obligations under this Agreement. Nothing in this section shall be construed to restrict the sale of telecommunications circuits or capacity. Any assignee or transferee of Customer shall be bound by the transfer and assignment restrictions of this Article 23.
ASSIGNMENT AND TRANSFER RESTRICTIONS. 18.1 Except as provided in Section 18.2, Customer shall not transfer or assign all or any part of its interest under this Agreement, or delegate any duties, burdens, or obligations arising hereunder, without 360americas' written consent, which may be withheld in 360americas' sole discretion. A transfer or assignment in violation of this Article 18 shall constitute a material breach of this Agreement and shall be null and void from its inception. If any such consent is given, the assignor nevertheless shall remain fully and primarily liable for all obligations under this Agreement. Notwithstanding any provision of this Article 18, Customer may grant an IRU, lease, or resell its interest in the Capacity, or any communications circuits, capacity or other services derived from the Capacity to third parties without obtaining 360americas' consent.

A transfer or assignment in violation of this Article 18 shall constitute a material breach of this Agreement. If any such consent is given, Customer nevertheless shall remain fully and primarily liable for all obligations under this Agreement. Notwithstanding anything to the contrary contained in this Article 18, Customer may sell, assign, exchange, lease or otherwise transfer all or any portion of the Capacity.
ASSIGNMENT AND TRANSFER RESTRICTIONS. A. Customer shall not assign, encumber or otherwise transfer this Agreement or all or any portion of its rights or obligations hereunder to any other person or entity without the prior written consent of City, which consent will not be unreasonably withheld or delayed. Customer shall have the right, without City’s consent, to assign or otherwise transfer this Agreement in whole or in part to any parent, wholly owned subsidiary or affiliate of Customer; or (iii) to any partnership, joint venture or other business entity of which Customer or any partnership, joint venture or other business entity of which Customer or any wholly owned subsidiary of Customer owns more than fifty percent (50%) of the equity interests thereof and which is controlled by Customer (or wholly owned subsidiary or affiliate of Customer), or (iv) any other entity into which Customer may be merged or consolidated or which purchases all or substantially all of the stock or assets of Customer; provided that the assignee or transferee in any such circumstance shall assume and continue to be subject to all of the provisions of this Agreement, including without limitation this Section 15.ACustomer shall give City written notice identifying any permitted assignee.

A transfer or assignment in violation of this Section 16 shall constitute a material breach of this Agreement and shall be null and void from itsinception.
