Phillips. Xxxxxx xxxxxx xxxx xxxxxx xx x xxxxxxx xxxxxxmation xx xxx Xxxx of Auburn and its Industrial Development Board to provide the following incentives to FiberCore should you select Auburn, Alabama for your new manufacturing facility. Specifically, Auburn will provide you with the following incentives:

Phillips shall prepare and file, or shall cause to be prepared and filed, any Tax Return for any Income Tax (which this provision only shall include foreign income taxes) that includes a member of the Phillips Group.
Phillips. RXX xxxxx xxxx the sole and exclusive right to determine whether to exercise the Right of First Refusal. Nothing in this Agreement shall limit in any way the right of RHP to make the decision as to whether it will or will not exercise the Right of First Refusal in its sole discretion. However, if RHP does submit an Acceptance Notice to the Gemmers, RHP will be legally obligated to purchase or lease the Mast Property or Leased Property (as the case may be).
