In connection with a Piggyback Registration or a Requested Underwritten Offering, the Company will, at least three Business Days prior to the anticipated filing of any initial Registration Statement that identifies the Holder and any related Prospectus or any amendment or supplement thereto (other than amendments and supplements that do not materially alter the previous disclosure or do nothing more than name the Holder and provide information with respect thereto), as applicable, (i) furnish to the Holder copies of any such Registration Statement or related Prospectus or amendment or supplement thereto that identify the Holder and any related Prospectus or any amendment or supplement thereto (other than amendments and supplements that do not materially alter the previous disclosure or do nothing more than name the Holder and provide information with respect thereto) prior to filing, or notice that such filing has been made and the document is available on XXXXX and (ii) use commercially reasonable efforts to address in each such document when so filed with the Commission such comments relating to itself or its intended manner of distribution (only) as the Holder reasonably shall propose prior to the filing thereof.
