Common use of Plan Administrator Duties Clause in Contracts

Plan Administrator Duties. This Agreement shall be administered by the Bank’s Chief Financial Officer as Plan Administrator, who shall consult as necessary with the Compensation Committee (the “Committee”) of the Board. The Committee shall also have the discretion and authority to (i) make, amend, interpret and enforce all appropriate rules and regulations for the administration of this Agreement and (ii) decide or resolve any and all questions including interpretations of this Agreement.

Plan Administrator Duties. This Agreement shall be administered by a Plan Administrator consisting of the Board of Directors of the Bank’s Chief Financial Officer , or such committee or person as the Board of Directors of the Bank shall appoint. The Executive may not be a member of the Plan Administrator, who shall consult as necessary with the Compensation Committee (the “Committee”) of the Board. The Committee Plan Administrator shall also have the discretion and authority to (ix) make, amend, interpret interpret, and enforce all appropriate rules and regulations for the administration of this Agreement and (iiy) decide or resolve any and all questions that may arise, including interpretations of this Agreement.
