Plan Administration. AvMed may from time to time adopt reasonable policies, procedures, rules and interpretations to promote the orderly and efficient administration of this Contract.

Plan Administration. The Plan is administered by the Committee, which has sole and exclusive power and discretion to interpret, administer, implement and construe the Plan and this Agreement. All elections, notices and correspondence relating to the Plan should be directed to the Secretary at: Chart Industries, Inc. Plan Administration. (a) The State will keep a record of any surplus or deficit in Plan funds and will report its existence to VSEA. (b) Any surplus, including that portion attributable to the State's percentage of premium payment, shall remain with the State Employee Health Plan Fund and shall not be expended for any non- Fund purposes without mutual agreement. (c) The State will give written notice to VSEA of its intent to apply any State Employee Health Plan Fund surplus to premium reduction, new benefits or continued accumulations, or, in case of an anticipated deficit, of the necessity to raise premiums. The State will give at least forty-five (45) calendar days written notice to VSEA over any proposed premium increase. At the request of VSEA, the State will consult and discuss the proposed premium increase for a period not exceeding thirty (30) calendar days from the date of such notice by the State, after which the State may implement its decision, whether or not the parties have bargained to genuine impasse. The statutory impasse procedure shall not apply. (d) The State will consult with VSEA concerning the method of funding for any newly recognized benefit. (e) VSEA shall have a reasonable opportunity (not less than thirty (30) days) to review any subsequently drafted plan booklet prior to publication. (f) The VSEA will encourage employees and retirees with problems or questions concerning the administration of health care claims to directly raise those concerns with the Benefits Division of the Department of Human Resources. The Benefits Division will work cooperatively with employees or retirees to resolve such questions. If such questions or concerns are not resolved and the VSEA becomes involved in the issue, the Benefits Division shall work cooperatively with the VSEA to seek a resolution.
Plan Administration. The Plan is administered by the Committee, which has full and exclusive discretionary power to interpret, implement, construe and adopt rules, forms and guidelines for administering the Plan and this Agreement. All actions, interpretations and determinations made by the Committee, the Board of Directors, or any of their delegates as to the provisions of this Agreement and the Plan shall be final, conclusive, and binding on all persons and the Grantee agrees to be bound by such actions, interpretations and determinations.
Plan Administration. The Plan is administered by a Committee of the Company’s Board, whose function is to ensure the Plan is managed according to its respective terms and conditions. To the extent any provision of this Agreement is inconsistent or in conflict with any provision of the Plan, the Plan shall govern. Plan Administration. (a) The Plan Administrator shall have sole discretion and authority to control and manage the operation and administration of the Plan. (b) The Plan Administrator shall have complete discretion to interpret the provisions of the Plan, make findings of fact, correct errors, and supply omissions. All decisions and interpretations of the Plan Administrator made in good faith pursuant to the Plan shall be final, conclusive and binding on all persons, subject only to the claims procedure, and may not be overturned unless found by a court to be arbitrary and capricious. (c) The Plan Administrator shall have all other powers necessary to administer the Plan, including, but not limited to, the following: (i) To prescribe procedures to be followed by Participants in making elections under the Plan and in filing claims under the Plan; (ii) To prepare and distribute information explaining the Plan to Participants; (iii) To receive from the Employer (or Participating Employer) and Participants, Spouses, Dependents and Beneficiaries such information as shall be necessary or desirable for the proper administration of the Plan; (iv) To keep records of elections, claims and disbursements for claims under the Plan, and such other information as may be required by the Code; (v) To appoint individuals or committees to assist in the administration of the Plan and to engage any other agents it deems advisable; (vi) To purchase any insurance deemed necessary for providing benefits under the Plan; (vii) To accept, modify or reject Participant elections under the Plan; (viii) To promulgate election forms and claims forms to be used by Participants; (ix) To prepare and file any reports or returns with respect to the Plan required by the Code or any other laws; (x) To determine and announce any Benefit Contributions required hereunder; (xi) To determine and enforce any limits on benefits elected hereunder; (xii) To take such action as may be necessary to effect any required payroll deduction of any Benefit Contributions required hereunder; and (xiii) To correct errors and make equitable adjustments for mistakes made in the administration of the Plan; specifically, and without limitation, to recover erroneous overpayments made from the Plan to a Participant, Spouse, Dependent or Beneficiary, in whatever manner the Plan Administrator determines is appropriate, including suspensions or recoupment of, or offsets against, future payments due that Participant, Spouse, Dependent or Benefi...

Plan Administration. The terms of the Plan and its administration shall be entirely the responsibility of the Board of Trustees provided the Plan is administered in accordance with the Collective Agreement, the Trust Agreement and any applicable government law or regulation. Benefits provided will be determined by the Trustees and will be subject to such rules, limitations and exceptions contained in Plan documents and insurance contracts as are established and accepted by the Trustees from time to time.
