The Plan Disclosure Documents will not, at the date mailed by the Company to the creditors and equity security holders of the Company, the date the Bankruptcy Court enters the Confirmation Order or the Closing Date, contain any untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they are made, not misleading. The Plan Disclosure Documents will comply as to form in all material respects with the provisions of the Securities Act, the Exchange Act and the Bankruptcy Code and all other rules, regulations, orders or decrees thereunder.
