Compliance with Bankruptcy Code. The Company shall, and shall cause its subsidiaries, to the extent applicable, to, comply in all material respects with the Bankruptcy Code and all other laws, rules, regulations, decrees and orders promulgated thereunder in connection with obtaining the Confirmation Order.

Compliance with Bankruptcy Code. Nothing contained in this Plan Support Agreement shall obligate or require any Party hereto to take any actions or otherwise act in contravention of the requirements of the Bankruptcy Code. Without limiting the generality of the foregoing, the Parties hereto acknowledge that, while they have reached the agreements set forth herein relative to support of the Amended Plan, this Plan Support Agreement is not and shall not be deemed to be a solicitation of acceptances or rejections on the Amended Plan in contravention of applicable non- bankruptcy law or section 1125(b)
Compliance with Bankruptcy Code. Borrower shall materially and substantially comply with the provisions of Chapter 11 and all other applicable provisions of the Bankruptcy Code.
Compliance with Bankruptcy Code. The Debtor has complied in all material respects with the Bankruptcy Code, and all other laws, rules, regulations, decrees and orders applicable to or arising out of the Reorganization. All lists of creditors and shareholders, schedules, statements of affairs and financial reports filed by the Debtor with the Bankruptcy Court and all representations, warranties or disclosures of the Debtor made in connection with the Reorganization are complete and accurate in all material respects. Notice has been given to all holders of Claims and Equity Interests (as such terms are defined respectively in Sections 1.17 and 1.37 of the Plan of Reorganization) as required by the Bankruptcy Code and as was directed by the Bankruptcy Court pursuant to the Order of the Bankruptcy Court, dated June 30, 1997, approving the Disclosure Statement.

This Warrant and all shares of Series Preferred issued upon exercise of this Warrant and all shares of Common Stock issued upon conversion thereof (unless registered under the Act and any applicable state securities laws) shall be stamped or imprinted with a legend in substantially the following form: “THE SECURITIES EVIDENCED HEREBY HAVE NOT BEEN REGISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED, OR ANY STATE SECURITIES LAWS. NO SALE OR DISPOSITION MAY BE EFFECTED WITHOUT (i) EFFECTIVE REGISTRATION STATEMENTS RELATED THERETO, (ii) AN OPINION OF COUNSEL OR OTHER EVIDENCE, REASONABLY SATISFACTORY TO THE COMPANY, THAT SUCH REGISTRATIONS ARE NOT REQUIRED, (iii) RECEIPT OF NO-ACTION LETTERS FROM THE APPROPRIATE GOVERNMENTAL AUTHORITIES, OR (iv) OTHERWISE COMPLYING WITH THE PROVISIONS OF SECTION 7 OF THE WARRANT UNDER WHICH THESE SECURITIES WERE ISSUED, DIRECTLY OR INDIRECTLY.” Said legend shall be removed by the Company, upon the request of a holder, at such time as the restrictions on the transfer of the applicable security shall have terminated. In addition, in connection with the issuance of this Warrant, the holder specifically represents to the Company by acceptance of this Warrant as follows:

  • Compliance with Tax Laws The Trustee hereby agrees to comply with all U.S. Federal income tax information reporting and withholding requirements applicable to it with respect to payments of premium (if any) and interest on the Debt Securities, whether acting as Trustee, Registrar, paying agent or otherwise with respect to the Debt Securities.

  • Compliance with OFAC None of the Company and its Subsidiaries or, to the Company’s knowledge, any director, officer, agent, employee or affiliate of the Company and its Subsidiaries or any other person acting on behalf of the Company and its Subsidiaries, is currently subject to any U.S. sanctions administered by the Office of Foreign Assets Control of the U.S. Department of the Treasury (“OFAC”), and the Company will not, directly or indirectly, use the proceeds of the Offering hereunder, or lend, contribute or otherwise make available such proceeds to any subsidiary, joint venture partner or other person or entity, for the purpose of financing the activities of any person currently subject to any U.S. sanctions administered by OFAC.

  • Compliance with FCPA Each of the Credit Parties and their Subsidiaries is in compliance with the Foreign Corrupt Practices Act, 15 U.S.C. §§ 78dd-1, et seq., and any foreign counterpart thereto. None of the Credit Parties or their Subsidiaries has made a payment, offering, or promise to pay, or authorized the payment of, money or anything of value (a) in order to assist in obtaining or retaining business for or with, or directing business to, any foreign official, foreign political party, party official or candidate for foreign political office, (b) to a foreign official, foreign political party or party official or any candidate for foreign political office, and (c) with the intent to induce the recipient to misuse his or her official position to direct business wrongfully to such Credit Party or its Subsidiary or to any other Person, in violation of the Foreign Corrupt Practices Act, 15 U.S.C. §§ 78dd-1, et seq.
