PNU Rights Agreement. PNU shall not amend, modify or waive any provision of the PNU Rights Agreement, and shall not take any action to redeem the PNU Rights or render the PNU Rights inapplicable to any transaction, other than to permit another transaction that the Board of Directors of PNU has determined is a Superior Proposal (as defined in Section 8.11) to be consummated after termination of this Agreement.
