Possession of Collateral by Bank. All the Collateral now, heretofore or hereafter delivered to Bank shall be held by Bank in its possession, custody and control. Upon the occurrence and during the continuance of an Event of Default, whenever any of the Collateral is in Bank's possession, custody or control, Bank may use, operate and consume the Collateral, whether for the purpose of preserving and/or protecting the Collateral, or for the purpose of performing any of the Grantors' obligations with respect thereto, or otherwise so long as consistent with the Operative Documents or transactions contemplated thereby. Bank may at any time deliver or redeliver the Collateral or any part thereof to the Grantors, and the receipt of any of the same by the Grantors shall be complete and full acquittance for the Collateral so delivered, and Bank thereafter shall be discharged from any liability or responsibility arising after such delivery to the Grantors. So long as Bank exercises reasonable care and complies with Section 9207 of the UCC with respect to any Collateral in its possession, custody or control, Bank shall have no liability for any loss of or damage to any Collateral, and in no event shall Bank have liability for any diminution in value of Collateral occasioned by economic or market conditions or events.
