Possession of Franchises, Licenses, Etc. The Company and each -------------------------------------- of its Subsidiaries possesses all franchises, certificates, licenses, permits and other authorizations from governmental political subdivisions or regulatory authorities, that are necessary for the ownership, maintenance and operation of its properties and assets, except where the failure to be in such compliance would not have a Material Adverse Effect, and the Company and each of its Subsidiaries is not in violation of any thereof in any material respect.
