Possession; Risk of Loss. Buyer shall be granted full possession of the Property at Closing subject to (i) Manager's rights under the Management Agreements, (ii) tenant's rights under any space leases of the Property assumed by Buyer and (iii) guests in occupancy. All risk of loss with respect to the Property shall pass to Buyer on and as of the Closing Date. 40 34
