Post-Completion Matters and Further Assurances. 5.1 The Vendor shall, if requested by the Purchaser and if practicable, provide all such reasonable assistance to the Purchaser after the Takeover Date as may help the Purchaser to resolve any disputes arising with any Clients or customers or suppliers of the Business who were Clients or customers or suppliers of the Business before the Takeover Date if such a dispute arises from or is due to any act on the part of the Vendor prior to the Takeover Date.
