Potential Liquidation of Xxxxx Xxxxxxxx Obligation. (i) If on or before the date that is thirty six (36) months after the Effective Date (as extended by Excusable Delay) (the “Xxxxx Xxxxxxxx Liquidation Trigger Date”) the Housing Authority fails to enter into the Xxxxx Xxxxxxxx DDA consistent with the Redevelopment Requirements and the terms of this DDA, despite Developer’s, Xxxxx Xxxxxxxx Developer’s and the Agency’s good faith efforts and Xxxxx Xxxxxxxx Developer’s willingness to enter into the Xxxxx Xxxxxxxx DDA, then Developer shall pay to the Agency the “Xxxxx Xxxxxxxx Liquidation Payments” in accordance with this Section 6.2.3
