Power and Authority; Authorization, Execution and Delivery. Guarantor’s execution, delivery and performance of this Agreement and each other Transaction Document to which it is a party are within its corporate power and authority and have been duly authorized by all necessary corporate action. Guarantor has duly executed and delivered this Agreement and each other Transaction Document to which it is a party.
