Power to Act. To receive regular monitoring reports and presentations on the matters set out in the objectives above.
Power to Act. Borrower and each Domestic Subsidiary has the requisite power to make, execute and perform the Loan Documents executed by them, and all such instruments will constitute the legal, valid and binding obligations of the Borrower and Domestic Subsidiaries, enforceable in accordance with their respective terms, subject only to the Borrower’s, or Domestic Subsidiaries' bankruptcy, insolvency, reorganization, or other similar laws relating to or staying the enforcement of remedies of creditors generally, and the effect of rules of law governing, or practices of courts with respect to, specific enforcement, injunctive relief and other equitable remedies generally.
Power to Act. NWBio has all necessary power to enter into and perform its obligations under this Agreement and has taken all necessary action under the laws of the State of Washington and its articles of incorporation and bylaws to authorize the execution and consummation of this Agreement.
Power to Act. The Attorney-in-Fact may act alone in exercising the rights and powers conferred on him by this Custody Agreement and Power of Attorney (the "Agreement"). Progenics has all necessary corporate power under the laws of the State of Delaware to enter into and perform its obligations under this Agreement and has taken all necessary corporate action under the laws of the State of Delaware and its certificate of incorporation and by-laws to authorize the execution of, and performance of its obligations under, this Agreement. Progenics has the full right, power and authority to grant all of the right, title and interest in the licenses granted, or contingent licenses that may be granted, by Progenics under this Agreement.

CYTOGEN has all necessary corporate power under the ------------ laws of the State of Delaware to enter into and perform its obligations under this Agreement and has taken all necessary corporate action under the laws of the State of Delaware and its certificate of incorporation and by-laws to authorize the execution of, and performance of its obligations under, this Agreement. CYTOGEN has the full right, power and authority to grant all of the right, title and interest in the licenses granted, or contingent licenses that may be granted, by CYTOGEN under Section 3 hereof.

The LLC has all necessary corporate power under the ------------ laws of the State of Delaware to enter into and perform its obligations under this Agreement and has taken all necessary corporate action under the laws of the State of Delaware and its certificate of formation and operating agreement to authorize the execution of, and performance of its obligations under, this Agreement.
Power to Act. AJH, as Seller Representative, and any successor ------------ Seller Representative shall have the powers and duties set forth in this Escrow Agreement including the power to give all instructions and make all decisions hereunder on behalf of the Sellers.
Power to Act. 15.1 You irrevocably appoint us, our directors and officers and anyone deriving title under or through us, as your attorney to secure the performance of your obligations under this agreement and, at any time in your name and on your behalf, to execute legal assignments or to obtain payment of all or any debts bought by us, to institute legal proceedings and to make any arrangement or compromise which we think fit, to endorse on your behalf negotiable instruments or other securities received in respect of debts and generally at any time to execute and do such further documents and things as we may in our absolute discretion consider to be necessary or expedient for perfecting our title to such debts and the rights and for the recovery or realisation of them and for the full exercise of all or any of the powers conferred on us by you.
15.2 We, and any attorney appointed by us, may appoint and remove any other attorney for you in respect of the above.
15.3 You further agree to ratify and confirm all agreements, documents, acts and things and all transactions entered into by us in the exercise or purported exercise of our powers.
