The Seller Parties have the right, upon unanimous approval of the Seller Parties, to change the Seller Representative at any time upon providing at least fifteen (15) days’ advance written notice of the same to the Purchaser.
The Purchaser shall submit such Tax Returns to the Seller Representative at least five (5) days prior to the due date for filing such Tax Return (including any applicable extensions) for review and comment, and the Purchaser shall consider any comments of the Seller Representative in good faith and revise the applicable Tax Return to the extent the Purchaser deems appropriate, in its reasonable discretion.
This Agreement may be amended by the parties hereto at any time by execution of an instrument in writing signed by the Purchaser and the Seller Representative.
If the Seller Representative fails to deliver the Statement of Objections before the expiration of the Review Period, the Closing Adjustment Statement and the Post-Closing Adjustment reflected in the Closing Adjustment Statement shall be deemed to have been accepted by Seller.
After receipt of the Closing Adjustment Statement, the Seller Representative shall have fifteen (15) days (the “Review Period”) to review the Closing Adjustment Statement.
