Power to Appoint. 86 (1) Each Director shall have power from time to time to appoint any person approved for that purpose by a majority of his or her co-Directors to act as an Alternate Director in his or her place whenever he or she is unable to act personally by reason of illness absence or any other cause whatsoever and may do so generally or for a meeting or for any other purpose or for a specified period. 86 (2) Nothing in this Article is to be construed as empowering a Managing Director to appoint an alternate to act as Managing Director.
