Common use of Power Clause in Contracts

Power. It and each of its Subsidiaries has the corporate (or comparable) power and authority to carry on its business as it is now being conducted and to own all its properties and assets; and it has the corporate (or comparable) power and authority to execute, deliver and perform its obligations under this Agreement and to consummate the transactions contemplated hereby.

It Each of the Company and each of its Subsidiaries has the corporate (or comparable) requisite power and authority as a corporation or other legal entity in all material respects to own, lease and operate its properties and to carry on its business respective businesses as it is they are now being conducted and to own all its properties and assets; and it has the corporate (or comparable) power and authority to execute, deliver and perform its obligations under this Agreement and to consummate the transactions contemplated herebyconducted.

Power. It and each of its Subsidiaries has the corporate (or comparable) power and authority to carry on its business their respective businesses as it is such businesses are now being conducted and to own all its their respective properties and assets; and it has the corporate (or comparable) power and authority to execute, deliver and perform its obligations under this Agreement and to consummate the transactions contemplated hereby.

Power. It and each of its Subsidiaries has the corporate (or comparable) power and authority to carry on its business as it is now being conducted and to own all its properties and assets; . Each of it and it Merger Sub has the corporate (or comparable) power and authority to execute, deliver and perform its obligations under this Agreement and to consummate the transactions contemplated hereby.
