Common use of PPD Indemnity Clause in Contracts

PPD Indemnity. PPD shall indemnify, defend and hold harmless Sponsor and its Agents from and against any and all damages, liabilities, losses, fines, penalties, settlement amounts, cost and expenses of any kind or nature whatsoever, including, without limitation, reasonable attorney’s fees, expert witnesses and court costs, incurred in connection with any Claim arising from the negligence, intentional misconduct, or material breach of Agreement of PPD or its Agents; provided however, that PPD shall have no obligation of indemnity hereunder to the extent any Claim arose from the negligence, intentional misconduct or material breach of Agreement on the part of Sponsor or its Agents.

PPD Indemnity. PPD shall indemnify, defend and hold harmless Sponsor and its Agents Associates from and against any and all damages, liabilities, losses, fines, penalties, settlement amounts, cost and expenses of any kind or nature whatsoever, including, without limitation, reasonable attorney’s fees, expert witnesses and court costs, incurred in connection with any Claim Claim, but only to the extent arising from the negligence, intentional misconduct, or material breach of Agreement of PPD or its AgentsAssociates; provided however, that PPD shall have no obligation of indemnity hereunder with respect to the extent any Claim which arose from the negligencenegligence act error or omission, intentional misconduct or material breach of Agreement on the part of Sponsor or its AgentsAssociates.

PPD shall indemnify, defend and hold harmless Sponsor and its Agents Associates (“Sponsor Indemnitees”) from and against any and all damages, liabilities, losses, fines, penalties, settlement amounts, cost and expenses of any kind or nature whatsoever, including, without limitation, reasonable attorney’s fees, expert witnesses and court costs, incurred in connection with any Claim arising from out of the negligence, intentional willful misconduct, or material breach of this Agreement of or any Project Addenda by PPD or its AgentsAssociates; provided however, that PPD shall have no obligation of indemnity hereunder with respect to any claim to the extent any Claim arose such claim arises from the negligence, negligence or intentional misconduct or material breach of Agreement or any Project Addenda on the part of Sponsor or its AgentsAssociates.
