Common use of Pre-delivery Services Clause in Contracts

Pre-delivery Services. For the acquisition of any Vessel, the Manager shall oversee and supervise, in all material respects, the construction of any newbuilding Vessel or the acquisition of any existing Vessel to be purchased and made subject to this Agreement, as the case may be, prior to its delivery, including the following (collectively, the “Pre-delivery Services”), as applicable: (a) negotiating the shipbuilding contract and specifications and related documentation; (b) attending to plan approval for the design of the newbuilding Drybulk Carrier; (c) arranging for and supervising alterations and changes to the newbuilding Drybulk Carrier; (d) liaising with the ship builder, supervising the ship builder’s progress and overseeing construction to ensure the ship builder is constructing the newbuilding Drybulk Carrier in accordance with the relevant shipbuilding contract, design and specifications; (e) negotiating the purchase and sale agreement and related documentation; (f) liaising with classification societies, suppliers and other service providers; (g) procuring, supervising and managing suitably qualified Crew to test the Vessel in the water prior to delivery; (h) attending to the purchasing and other activities related to the Pre-delivery Purchases and Expenses; and (i) arranging for registration of the Vessel under the relevant flag and in accordance with Applicable Laws and registration of the Vessel with the relevant classification society and other authorities as may be required for obtaining trading, canal and other marine certificates for the Vessel.

Pre-delivery Services. For the acquisition of any VesselVessel other than an IPO Vessel and subject to any Warehousing Service provided other than by the Manager, the Manager shall oversee and supervise, in all material respects, the construction of any newbuilding Vessel Tanker or the acquisition of any existing Vessel to be purchased and made subject to this Agreement, as the case may be, prior to its delivery, including the following (collectively, the “Pre-delivery Services”), as applicable: (a) negotiating the shipbuilding contract and specifications and related documentation; (b) attending to plan approval for the design of the newbuilding Drybulk CarrierTanker; (c) arranging for and supervising alterations and changes to the newbuilding Drybulk CarrierTanker; (d) liaising with the ship builder, supervising the ship builder’s progress and overseeing construction to ensure the ship builder is constructing the newbuilding Drybulk Carrier Tanker in accordance with the relevant shipbuilding contract, design and specifications; (e) negotiating the purchase and sale agreement and related documentation; (f) liaising with classification societies, suppliers and other service providers; (g) procuring, supervising and managing suitably qualified Crew to test the Vessel in the water prior to delivery; (h) attending to the purchasing and other activities related to the Pre-delivery Purchases and Expenses; and (i) arranging for registration of the Vessel under the relevant flag and in accordance with Applicable Laws and registration of the Vessel with the relevant classification society and other authorities as may be required for obtaining trading, canal and other marine certificates for the Vessel.

Pre-delivery Services. For the acquisition of any Vessel other than an IPO Vessel, the Manager shall oversee and supervise, in all material respects, the construction of any newbuilding Vessel the New Build or the acquisition of any existing Vessel to be purchased and made subject to this Agreement, as the case may be, prior to its delivery, including but not limited to the following (collectively, the “Pre-delivery Services”)following, as applicable: (a) negotiating the shipbuilding ship building contract and specifications and related documentation; (b) attending to plan approval for the design of the newbuilding Drybulk CarrierNew Build; (c) liaising with the ship builder and supervising the ship builder’s progress with respect to the New Build and reviewing the general operation and efficiency of the ship builder; (d) arranging for and supervising alterations and changes to the newbuilding Drybulk CarrierNew Build; (de) liaising with the ship builder, supervising the ship builder’s progress and overseeing construction to ensure the ship builder is constructing the newbuilding Drybulk Carrier New Build in accordance with the relevant shipbuilding ship building contract, design and specifications; (ef) negotiating the purchase and sale agreement and related documentation; (fg) liaising with classification societies, suppliers and other service providers; (gh) procuring, supervising and managing suitably qualified Crew to test the Vessel New Build in the water prior to delivery; (hi) attending to the purchasing and other activities related to the Pre-delivery Delivery Purchases and Expenses; and (ij) arranging for registration of the Vessel under the relevant flag and in accordance with Applicable Laws and registration of the Vessel with the relevant classification society and other authorities as may be required for obtaining trading, canal canal, and other marine certificates for the Vessel; (collectively, the “Pre-delivery Services”).

Pre-delivery Services. For Following a determination by Euromar in relation to the acquisition of any VesselVessel (whether a newbuilding on-sale/resale purchase, a secondhand purchase or otherwise), Eurochart shall, and the Manager shall cause that Eurochart shall or, in the event of the failure of Eurochart to do so, shall itself (or, subject to Clause 10, cause a sub-contractor to), oversee and supervise, in all material respects, and provide the necessary administrative, technical and management services in relation to, the continued construction of any such newbuilding Vessel on-sale/resale purchase or the acquisition of any existing secondhand Vessel to be purchased and made subject to this Agreement, as the case may be, prior to its delivery, including including, but not limited to the following (collectively, the “Pre-delivery Services”), as applicablefollowing: (ai) negotiating the shipbuilding on-sale/resale purchase contract and specifications or memorandum of agreement (as the case may be) and related documentation; (bii) attending reviewing and advising the Board of Managers of Euromar in relation to plan approval for the design specifications of the any newbuilding Drybulk Carrieron-sale/resale purchase (including any plans, drawings and technical reports) and suggesting modifications (if applicable); (ciii) arranging for and supervising any alterations and or changes to the any on-sale/resale newbuilding Drybulk CarrierVessel; (div) liaising with the ship builder, original purchaser or otherwise in relation to any on-sale/resale newbuilding Vessel, supervising the ship builder’s progress and overseeing continued construction of such Vessel to ensure the ship builder that such Vessel is constructing the newbuilding Drybulk Carrier constructed, designed and delivered in accordance with the relevant terms of the original shipbuilding contract, design and specificationscontact/on-sale/resale agreement; (e) negotiating the purchase and sale agreement and related documentation; (fv) liaising with classification societies, suppliers and other service providers; (gvi) procuring, supervising and managing suitably qualified Crew to test the Vessel in the water prior to delivery; (h) delivery and attending to the purchasing all sea trials and other activities related to the Prepre-delivery Purchases and Expensestests; and (ivii) arranging for of the registration of the any Vessel under the relevant flag upon delivery under the relevant on-sale/resale contract or memorandum of agreement (as the case may be) and in accordance with Applicable Laws and registration of the Vessel with the relevant classification society and other authorities as may be required for obtaining trading, canal navigation or otherwise and any other required marine certificates for the Vesselcertificates.
